Collaborative Approach is a Kenya-based non-profit social enterprise working at the intersection of social impact, learning, research, consultancy, partnership brokerage, community networking, outdoor experiences, professional services and social enterprise. Our website is designed to help people understand our work, access our services, engage with our ecosystem, register for opportunities, order products, participate in events, connect with us, and use authorised digital tools where applicable.
These Terms are intended to protect users, participants, clients, agents, partners, service providers, community members and Collaborative Approach itself. Collaborative Approach may operate an agent, referral or partnership arrangement through which authorised persons may refer users, participants, customers, clients or service leads to approved Collaborative Approach services. Participation in any agent or referral arrangement is subject to these Terms, any applicable agent agreement, commission policy, written notice, internal guideline, service instruction or dashboard rule issued by Collaborative Approach. Agents and referral partners must communicate honestly, represent services accurately, avoid exaggerated promises, protect personal data, respect potential customers and community members, and avoid any conduct that may mislead, pressure, exploit or manipulate users. Referral links, referral codes, performance records, conversion records and commission arrangements are provided for authorised use only. Agents must not create fake referrals, duplicate referrals, self-referrals, false conversions, artificial clicks, misleading orders or any activity designed to manipulate commission eligibility. Commissions are payable only where a referral is valid, eligible, properly attributed, confirmed, paid for where applicable, and not cancelled, reversed, refunded, fraudulent, duplicated or disputed. Collaborative Approach may review, adjust, reject, reverse or withhold commissions where there is evidence of error, fraud, abuse, cancellation, non-payment, breach of these Terms, breach of agent rules or operational inconsistency. Participation in the agent or referral system does not create employment, partnership, franchise, legal agency or authority to bind Collaborative Approach unless a separate signed agreement expressly states otherwise. Agents and referral partners may not sign contracts, collect money, make binding promises, hire others, issue official statements, or represent themselves as employees or authorised legal representatives of Collaborative Approach unless formally authorised in writing.
Collaborative Approach may publish services, packages, events, trainings, consultancy offerings, adventure experiences, products, merchandise, knowledge products or other offers through the website or official communication channels. A service listing, event page, product image, package description, price, date, venue, meeting point or online description is provided for information and booking purposes. It does not by itself guarantee availability, acceptance, confirmation or final service delivery. A booking, order or service request becomes confirmed only when Collaborative Approach confirms it through an official channel or when payment and any required registration details have been received and verified, depending on the nature of the service. We may decline, cancel or delay a booking, order or service where payment fails, details are incomplete, eligibility is not met, capacity is full, safety concerns arise, information is false, the service becomes unavailable, there is a pricing error, a third-party dependency fails, or the request is inconsistent with our mission, values, policies or legal obligations. Users are responsible for reading service details carefully before booking. This includes price, date, venue, meeting point, deliverables, scope, participation requirements, refund rules, safety instructions and any additional terms linked to the service.
Prices may be displayed in Kenya Shillings or another currency where appropriate. Unless expressly stated otherwise, prices may exclude taxes, transaction charges, transport, accommodation, third-party costs, optional add-ons, special requests, delivery costs or other incidental expenses. Payments may be made through M-Pesa, bank transfer, invoice payment, payment link, cash deposit or another authorised payment channel approved by Collaborative Approach. Where M-Pesa or another third-party payment service is used, payment processing may involve the user’s phone number, payment amount, transaction reference, payment status, timestamp and order or booking reference. A payment is considered received only when it has been successfully confirmed through the relevant payment channel or by Collaborative Approach’s finance or administration process. Failed, reversed, underpaid, duplicated, suspicious or incomplete payments may delay or prevent confirmation of a booking, order, account access, event participation or service delivery. Collaborative Approach may keep payment, invoice, order, booking, commission and transaction records for accounting, audit, tax, fraud prevention, dispute management, refund management and legal compliance purposes. We may correct pricing errors, typographical errors or technical payment errors where they occur. If a price or payment instruction was published incorrectly, we may cancel the affected order or service request and provide a corrected option where appropriate.
Refunds, cancellations, substitutions and postponements are handled according to the nature of the service, event, product, order or engagement. Where a specific Refund and Cancellation Policy, event brief, invoice, contract or service agreement applies, that document will guide the process. For events, hikes, camps, retreats, trainings, workshops and similar activities, cancellation by a participant may be subject to administrative costs, facilitator commitments, transport arrangements, venue costs, supplier costs, preparation costs, payment provider charges or other expenses already incurred. A participant who fails to attend, arrives late, ignores event instructions, is removed for misconduct, or fails to provide required information may not be entitled to a refund unless Collaborative Approach confirms otherwise in writing. Where reasonable, the Collaborative Approach may allow substitution of a participant if the request is made early, the substitute meets the participation requirements, and the change does not create safety, logistical, financial or compliance issues. Collaborative Approach may postpone, reschedule, modify or cancel an event or service due to weather, safety concerns, security risks, insufficient registration, venue issues, public health concerns, government directives, facilitator unavailability, transport disruption, third-party failure, force majeure or other operational reasons. Where we cancel a paid service without providing a reasonable alternative, we may offer a refund, credit, transfer or rescheduled option depending on the circumstances. For consultancy, training, professional services or institutional engagements, cancellation and payment obligations will be guided by the relevant proposal, invoice, contract, terms of reference or written confirmation.
Collaborative Approach may organise or support in-person and virtual activities, including community events, professional networking sessions, hikes, camps, retreats, trainings, workshops, corporate experiences, consultations and learning gatherings. By registering for or participating in such activities, you agree to follow the instructions provided by Collaborative Approach, facilitators, guides, organisers, venue staff or authorised representatives. You also agree to behave respectfully, arrive on time, provide accurate information, observe safety instructions, respect other participants, protect the environment, and avoid conduct that places yourself or others at risk. Some activities, particularly outdoor, travel, hiking, camping, retreat or adventure-based activities, may involve inherent risks. These may include physical exertion, weather changes, terrain conditions, transport delays, wildlife or environmental exposure, medical emergencies, personal property loss, venue limitations or other circumstances beyond our control. Participants are responsible for assessing their own physical fitness, health status, readiness and suitability before participating. Where requested, participants must disclose relevant health, allergy, emergency, accessibility or safety information. Collaborative Approach may refuse or restrict participation where a safety concern is identified. An event-specific waiver, consent form, safeguarding acknowledgement, media consent or medical declaration may be required before participation. Failure to complete required documentation may result in refusal of participation without refund where costs have already been incurred.
Collaborative Approach may provide consultancy, research, training, facilitation, organisational development, proposal writing, resource mobilisation support, strategic planning, communications support, partnership brokerage, knowledge management, monitoring and evaluation, ecosystem building or related professional services. Website descriptions of consultancy or professional services are general and do not create a final scope of work unless confirmed in a proposal, invoice, terms of reference, contract or written agreement. For professional engagements, the scope, deliverables, fees, timelines, responsibilities, revision process, approvals, payment terms and ownership of outputs should be agreed separately. Nothing in these Terms excludes or limits liability for fraud, intentional misconduct, gross negligence, death or personal injury caused by negligence, violation of non-excludable consumer rights, breach of legal obligations that cannot be excluded, or any liability that cannot lawfully be limited under Kenyan law.
You agree to indemnify and hold harmless Collaborative Approach, its registered proprietor, core-team members, consultants, agents, facilitators, partners, service providers and representatives from claims, losses, damages, liabilities, penalties, costs and expenses arising from your breach of these Terms, misuse of the website, false information, unlawful conduct, unauthorised representation, breach of confidentiality, infringement of intellectual property, violation of another person’s rights, misuse of personal data, fraudulent referral activity, harmful conduct at events, or breach of applicable law. This indemnity applies only to the extent that the claim arises from your act, omission, negligence, misconduct, breach or unlawful behaviour. It does not remove responsibility from the Collaborative Approach where liability arises from our own proven unlawful conduct, gross negligence or non-excludable legal obligation.
Collaborative Approach may suspend, restrict, terminate or refuse access to the website, services, events, accounts, agent portal, referral system, products, bookings or communication channels where necessary. This may happen where a user breaches these Terms, provides false information, fails to pay, reverses payment improperly, manipulates referrals, misuses an account, violates confidentiality, infringes intellectual property, creates a safety risk, abuses staff or participants, violates safeguarding standards, misuses personal data, breaches the law, compromises security or causes reputational, legal, financial or operational risk. Where appropriate, we may provide notice and an opportunity to respond. However, immediate restriction may be applied where necessary to protect safety, data, systems, participants, payments, confidential information, evidence or legal interests. Termination or suspension does not affect rights or obligations already accrued, including payment obligations, confidentiality duties, intellectual property rights, data protection duties, indemnity, limitation of liability and dispute resolution provisions.
You must not attempt to interfere with the website, servers, databases, accounts, forms, payment systems, referral tools, agent dashboards, security controls, analytics tools or any other technical infrastructure connected to Collaborative Approach. Prohibited conduct includes unauthorised access, password misuse, hacking attempts, malware upload, denial-of-service activity, scraping, bypassing access controls, data extraction, impersonation, manipulation of payment or referral records, phishing, social engineering, unauthorised testing, or any activity that may compromise the security, integrity or availability of our systems. Collaborative Approach may monitor system activity, login attempts, account creation, payment activity, referral activity, server logs and other technical indicators for security, fraud prevention, audit, accountability and compliance. Suspected security vulnerabilities should be reported responsibly through info@collaborativeapproach.africa. You must not publicly disclose, exploit or test vulnerabilities without written permission.
Collaborative Approach shall not be liable for failure or delay in performing obligations where such failure or delay results from circumstances beyond our reasonable control. Such circumstances may include extreme weather, natural disasters, public health emergencies, transport disruption, internet or telecommunications failure, payment provider downtime, cyber incidents, power failure, fire, strikes, civil unrest, insecurity, government restrictions, venue closure, facilitator illness, supplier failure, platform outages, regulatory action, or any other event beyond our reasonable control. Where possible, we will take reasonable steps to communicate disruptions, reduce impact, reschedule services, offer alternatives or provide guidance depending on the nature of the affected service.
Collaborative Approach may update these Terms from time to time to reflect changes in our services, website features, legal obligations, organisational structure, payment systems, agent arrangements, data protection requirements, event operations, services, or business model. The current version will be published on our website with an effective date. Where changes are material, we may provide additional notice through the website, email, account notice, WhatsApp or another appropriate communication channel. Your continued use of the website or services after updated Terms have been published means that you have had access to the updated Terms and agree to be bound by them. Where a change requires specific consent or acceptance, we will request it separately.
Collaborative Approach may transfer, assign or novate its rights and obligations under these Terms to a successor entity, affiliated entity, newly registered legal entity, company limited by guarantee, social enterprise vehicle, partnership structure or other lawful organisational structure that continues the work of Collaborative Approach. Where such a transition occurs, we will take reasonable steps to ensure continuity of services, protection of personal data, preservation of contractual obligations and communication to affected users, clients, agents, partners or participants where necessary. Users may not transfer their rights, accounts, bookings, agent status, referral codes, commissions, service rights or obligations to another person without written approval from Collaborative Approach.
If any part of these Terms is found to be invalid, unlawful or unenforceable, that part shall be interpreted or limited to the minimum extent necessary to make it lawful and enforceable. If it cannot be made lawful, it shall be removed without affecting the validity and enforceability of the remaining sections.
If Collaborative Approach does not immediately enforce a right under these Terms, that does not mean that we have waived the right. Any waiver must be clear and in writing. A waiver of one breach does not waive any other breach or future breach.
These Terms shall be governed by and interpreted in accordance with the laws of the Republic of Kenya. Relevant laws may include, where applicable, the Constitution of Kenya, the Registration of Business Names Act, the Law of Contract Act, the Data Protection Act, 2019 and related regulations, the Consumer Protection Act, 2012, the Kenya Information and Communications Act, the Computer Misuse and Cybercrimes Act, intellectual property laws, tax laws, electronic transaction rules, safeguarding-related obligations and any other applicable Kenyan law.
If a dispute arises in connection with these Terms, the website, a service, event, booking, payment, account, referral, commission, product, consultancy engagement or any related matter, the parties should first attempt to resolve the dispute in good faith through direct communication. Where direct communication does not resolve the matter, the parties may consider mediation, negotiation through authorised representatives, or another appropriate alternative dispute resolution process before filing formal proceedings, unless urgent action is required. Nothing in this section prevents Collaborative Approach from taking immediate action to protect safety, personal data, confidential information, intellectual property, payments, systems, evidence, participants, staff, consultants, partners or legal rights. Subject to applicable law, unresolved disputes may be submitted to a competent court, tribunal, regulator or lawful dispute resolution body in Kenya.
